Terms of Service

These terms govern your use of InvoiceLabs. By creating an account, you agree to them. Please read them carefully.

1. Who we are

InvoiceLabs is operated by Black Flame Digital. References to "we", "us", or "our" in these terms mean Black Flame Digital. References to "you" or "your" mean the individual or business using InvoiceLabs. For questions, contact us at support@invoicelabs.io.

2. The service

InvoiceLabs is a business invoicing platform. It allows you to create invoices, manage clients, track payments, and optionally accept card payments via Stripe Connect.

InvoiceLabs is intended for business use only. It is not a consumer product and consumer protection regulations that apply solely to personal, non-commercial use do not apply to your use of this service.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where changes are material, we will give you at least 14 days' notice by email. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

3. Accounts

Eligibility: You must be at least 18 years old and authorised to enter into a legally binding agreement on behalf of yourself or your business.

Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@invoicelabs.io if you suspect unauthorised access.

Accurate information: You agree to provide accurate, current, and complete information when creating your account and to keep it up to date.

One account per user: You may not create multiple accounts to circumvent subscription limits or any restriction we have applied to your account.

4. Subscriptions and billing

Plans and pricing

InvoiceLabs is available on a Free plan and paid monthly subscription plans (Starter, Professional, and Business). Current pricing is listed on our pricing page. All prices are in GBP and exclusive of VAT where applicable.

Billing and renewal

Paid subscriptions are billed monthly in advance. Subscriptions renew automatically on the same date each month unless cancelled before the renewal date. Billing is handled by Stripe — your payment details are stored securely by Stripe and never held by us.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain full access until then. After cancellation your account reverts to the Free plan. Your data is retained for 30 days after cancellation before being permanently deleted, giving you time to export it.

Refunds

We do not offer refunds for partial billing periods. If you believe a charge has been made in error, contact us within 14 days at support@invoicelabs.io and we will review it.

Failed payments

If a payment fails, we will notify you by email and Stripe will retry the charge. If payment remains outstanding after the retry period, your account will be downgraded to the Free plan until payment is resolved. Your data is not deleted during this period.

Price changes

We may change subscription prices with at least 30 days' notice by email. If you do not wish to continue at the new price, you may cancel before the change takes effect.

5. Your content

You retain full ownership of all data you create or upload through InvoiceLabs — including your invoices, company details, client data, and any branding assets.

By using InvoiceLabs, you grant Black Flame Digital a limited, non-exclusive licence to store, process, and transmit your content solely for the purpose of providing the service to you. We do not claim any ownership over your content and will never use it for any other purpose.

You are responsible for ensuring that the content you create and the client data you store complies with applicable laws, including data protection law. See our Data Processing Agreement for details of how we handle your clients' personal data.

6. Prohibited use

You agree not to use InvoiceLabs to:

Create or send fraudulent, misleading, or fictitious invoices.

Impersonate another person or business.

Store or transmit content that is unlawful, harmful, or infringes third-party rights.

Attempt to gain unauthorised access to any part of the service or another user's account.

Reverse engineer, decompile, or otherwise attempt to extract the source code of InvoiceLabs.

Resell, sublicence, or otherwise commercialise access to the service without our written permission.

Use automated tools to scrape, crawl, or extract data from the service.

Circumvent subscription limits by creating multiple accounts.

We reserve the right to suspend or terminate any account that violates these prohibitions without notice.

7. Limitation of liability

Important — please read carefully

This section limits our legal liability to you. It is an important part of the basis on which we provide the service.

No liability for indirect loss. To the fullest extent permitted by law, Black Flame Digital is not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, loss of business, or loss of goodwill — even if we have been advised of the possibility of such damages.

Cap on liability. Our total liability to you for any claim arising out of or relating to these terms or your use of InvoiceLabs is limited to the total amount you paid us in the 12 months preceding the claim.

InvoiceLabs is a tool, not a guarantee. We provide software to help you create and send invoices. We are not responsible if your clients do not pay, dispute an invoice, or take any action in response to an invoice you send using InvoiceLabs.

Service availability. We aim for high availability but do not guarantee uninterrupted access. We are not liable for losses caused by downtime, outages, or data loss resulting from circumstances outside our reasonable control.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

8. Indemnity

You agree to indemnify and hold harmless Black Flame Digital and its directors, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your use of InvoiceLabs, your violation of these terms, or your violation of any third-party rights — including the rights of your clients whose data you store on the platform.

9. Termination

You may close your account at any time from your account settings. We may suspend or terminate your account immediately if you breach these terms, fail to pay, or if we are required to do so by law.

On termination, your right to use the service ends immediately. Sections of these terms that by their nature should survive termination — including liability limitations, indemnity, and governing law — will continue to apply.

10. Changes to these terms

We may update these terms from time to time. If changes are material, we will notify you by email at least 14 days before they take effect. Your continued use of InvoiceLabs after that date constitutes acceptance of the updated terms. If you do not agree, you may cancel your account before the changes take effect.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
